Terms of Service

1. Agreement to Terms

By downloading, installing, or using the Skillify mobile application ("App") or any related services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms constitute a legally binding agreement between you and Skillify LLC ("Skillify," "we," "us," or "our"), a company organized under the laws of South Carolina.

You must be at least 18 years old to use Skillify. By accepting these Terms, you represent that you are 18 or older.

2. What Skillify is (and is not)

Skillify is a community platform that connects users who wish to exchange skills and services within a local geographic area. Skillify is a technology platform only. We do not employ service providers, guarantee the quality or safety of any exchange, act as a party to any agreement between users, or assume any liability for services exchanged through the Platform.

All exchanges are voluntary arrangements between independent users. Skillify facilitates the connection; it does not supervise, direct, or control the performance of any service.

Skillify is a real-world, location-based platform. Virtual services are not permitted. All exchanges must occur within the service radius designated for your region (currently 25 miles).

3. Accounts and Eligibility

3.1 Account Creation

You must create an account to use Skillify. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

3.2 One Account per Person

You may only maintain one active account. Creating multiple accounts, bot accounts, or accounts on behalf of others without their knowledge is prohibited and may result in immediate termination of all associated accounts.

3.3 Account Termination

Skillify reserves the right to suspend or permanently terminate your account at any time, with or without notice, for any violation of these Terms, including but not limited to XP manipulation, abusive behavior, or repeated no-shows. Upon termination, any XP balance in your account is forfeited and will not be refunded or transferred.

4. The XP Economy

4.1 What XP is

XP is Skillify's in-platform credit system used to request and provide services. XP has no monetary value. XP cannot be redeemed for cash, transferred outside the Platform, or exchanged for any real-world currency or financial instrument.

4.2 How XP is earned and spent

XP is earned by providing services to other users. The amount of XP earned or spent for a given exchange is based on the duration of the session in minutes, with all skills valued equally regardless of type. XP is held in escrow at the time of listing publication (for Requests) or booking (for Offers) and released upon session completion.

4.3 XP Boosts

Users may purchase XP Boosts using real currency. XP Boost purchases are final and non-refundable once applied. Skillify subsidizes a portion of XP Boost mechanics; any XP created through Boost subsidies is subject to Skillify's monitoring and may be adjusted or reversed in cases of suspected abuse.

4.4 Skillify's Right to modify XP

Skillify reserves the right to modify, adjust, expire, or cancel any XP balance at its sole discretion, including in cases of suspected fraud, system errors, abuse of the XP system, or account termination. Skillify will make reasonable efforts to notify you of material changes to your XP balance.

5. Listings and Exchanges

5.1 Accurate Listings

You agree to only offer skills and services that you are genuinely capable of providing. You must not misrepresent your qualifications, experience, or the nature of any service listed on the Platform.

5.2 No Off-Platform Transactions

You agree to keep all exchanges within the Skillify platform. Soliciting other users to conduct exchanges or transactions outside of Skillify, including cash transactions, is a violation of these Terms.

5.3 Recurring Listings

Recurring listings are a Premium-only feature and are limited to weekly frequency, capped at 12 sessions per recurring series. Recurring listings are subject to all standard listing and cancellation policies.

5.4 Geographic Requirement

All services must be arranged and performed within the designated regional service area (currently 25 miles from your registered location). Virtual-only service listings are not permitted and will be removed from the Platform.

6. User Conduct

You agree not to:

Manipulate, game, or exploit the XP system in any way, including creating fake sessions, colluding with other users to generate XP, or submitting false session data.
Harass, threaten, discriminate against, or abuse any other user.
Share personal contact information with other users prior to a confirmed session booking.
Use the Platform for any illegal purpose or in violation of any applicable law or regulation.
Impersonate any person or entity.
Post content that is false, misleading, defamatory, obscene, or otherwise objectionable.
Attempt to access, reverse engineer, or interfere with the technical operation of the Platform.
Use automated tools, bots, or scripts to interact with the Platform.

7. Reviews and Reputation

Users may leave reviews following completed sessions. Reviews must be honest and based on direct experience. Skillify reserves the right to remove reviews that violate these Terms or our community standards. Review manipulation, including incentivizing positive reviews or threatening negative reviews, is prohibited.

8. Premium Subscription

Skillify offers an optional premium subscription at the then-current monthly or yearly rate. Subscriptions are billed in advance on a monthly or yearly basis and auto-renew unless cancelled. You may cancel at any time through your account settings; access to premium features continues through the end of the billing period. No partial-month refunds are issued. 9. Intellectual Property

Skillify and its licensors own all rights, title, and interest in and to the Platform, including all software, content, branding, and technology. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes in accordance with these Terms.

By posting content on the Platform (including listings, reviews, and profile information), you grant Skillify a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the Platform.

10. Disclaimers and Limitation of Liability

10.1 No Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SKILLIFY DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.2 No Liability for User Exchanges

SKILLIFY IS NOT RESPONSIBLE FOR THE CONDUCT, ACTIONS, OR OMISSIONS OF ANY USER, WHETHER ONLINE OR OFFLINE. YOU ASSUME ALL RISK ASSOCIATED WITH INTERACTIONS WITH OTHER USERS, INCLUDING IN-PERSON EXCHANGES. SKILLIFY EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY HARM, INJURY, PROPERTY DAMAGE, OR LOSS ARISING FROM OR RELATED TO ANY IN-PERSON EXCHANGE ARRANGED THROUGH THE PLATFORM.

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SKILLIFY'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SKILLIFY IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

11. Indemnification

You agree to defend, indemnify, and hold harmless Skillify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your interactions with other users.

12. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. You waive your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration.

Before initiating arbitration, you agree to first contact Skillify at legal@skillifyapp.org and attempt to resolve the dispute informally for at least 30 days.

These Terms are governed by the laws of the State of South Carolina, without regard to conflict of law principles. Venue for any matters not subject to arbitration shall be in Charleston County, South Carolina.

13. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes via in-app notification or email. Your continued use of the Platform after the effective date of updated Terms constitutes your acceptance of the revised Terms.
